V3 Personal License Agreement

THE FOLLOWING LICENSE AGREEMENT RELATES TO THE ACCOMPANYING VISION III FILM CLIPS. CAREFULLY READ ALL OF THE AGREEMENT'S TERMS AND CONDITIONS BEFORE PROCEEDING. IF YOU DO NOT ACCEPT SUCH TERMS AND CONDITIONS, AND INDICATE YOUR ACCEPTANCE BELOW, YOU WILL NOT BE PERMITTED TO DOWNLOAD THE FILM CLIP.

You represent that you are acting on behalf of yourself personally and, if acting on behlf of your employer, you are authorized to accept these terms and conditions on its behalf (such employer being hereinafter referred to as you). You agree that you have read and understand this Agreement.

Vision III hereby grants to you a nontransferable and nonexclusive license to possess and use the Clip in accordance with the terms and conditions of this Agreement. The license authorizes you to use the Clip for evaluation purposes only on computers located at your office sites and on portable computers that are used by your employees solely in furtherance of your business. You agree that you have no right to copy, distribute or sell the Clip and you have a limited right to display the Clip solely for the purpose of determining your interest in a license to Vision III technology or purchase or lease of Vision III products. This license authorizes you to use the Clip solely in accordance with this Agreement. You shall not sell, lease, assign, transfer, sublicense, disseminate, modify, translate, duplicate, reproduce or copy the Clip (or permit any of the foregoing) or disclose the Clip or any information pertaining thereto any other party without the prior written consent of Vision III. You may not reverse assemble or reverse compile or otherwise attempt to create any source code from the Clip. You acknowledge that the Clip belongs to Vision III, and that Vision III retains all right, title and interest in and to the Clip.

VISION III HEREBY DISCLAIMS ALL WARRANTIES OF ANY NATURE, EXPRESS, IMPLIED OR OTHERWISE, OR ARISING FROM TRADE OR CUSTOM, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE.

You shall be solely responsible for the supervision, management and control of your use of the Clip. You hereby indemnify and hold harmless Vision III and its affiliates (the Indemnified Parties) against any loss, liability, damages, costs or expenses suffered or incurred by the Indemnified Parties at any time as a result, of any claim, action or proceeding arising out of or relating to your use of the Clip. For purposes of this Agreement, affiliate means any Company division or subsidiary or any other affiliated entity involved in the manufacture or wholesale distribution of Vision III products.

VISION III WILL NOT BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING GENERAL, DIRECT, SPECIAL, INCIDENTAL, AND CONSEQUENTIAL DAMAGES, RESULTING FROM OR ARISING OUT OF THIS AGREEMENT OR YOUR USE OF THE CLIP. Vision III may immediately terminate this license upon notice to you, whereupon you shall immediately destroy all copies of the Clip. This Agreement and any disputes arising hereunder shall be governed by the laws of the State of Commonwealth of Virginia, United States of America, without regard to conflicts of laws principles. The parties hereby expressly exclude the application of the U.N. Convention on Contracts for the International Sale of Goods to the Agreement.
